Founded on November 14, 2006 to reactivate the railway line Passau-Freyung, was entered in the commercial register on December 12, 2006 Passau under the number HRB 7054. In March 2009, the Ilztalbahn GmbH then received the operating license to operate a railway line from the Bavarian Ministry of Economic Affairs. Just one month later, together with the Rhein-Sieg-Bahn, the line was leased from DB Netz in April 2009 for 50 years. Finally, on September 12, 2010, the section from Waldkirchen to Freyung will be put into operation and on July 16, 2011 the rest of the route from Waldkirchen to Passau.

With its efforts, the Ilztalbahn GmbH prevented the final closure of the scenic railway line Passau-Freyung. This has not been used since the August floods in 2002, as restoring the destroyed railway line would have been uneconomical for DB Netz. On March 11, 2005, DB Netz then applied to the Federal Railway Authority to shut down the line, which was approved on with effect from April 1, 2005. The neighboring communities of the Ilztalbahn wanted to buy the route and turn it into one Railway cycle path convert who the Adalbert Stifter cycle path with the Danube-Ilz cycle path should connect. However, this project failed because of the Ilztalbahn development association, which was strongly committed to reactivating the line. DB Netz then submitted an application for exemption from railway operations in order to be able to sell the line to the municipalities, which is why Ilztalbahn GmbH was founded on November 14, 2006 and appealed against the application for exemption. The Federal Railway Authority recognized the objection on July 16, 2007, which was the first time that an application for exemption was rejected. The counter objections of the municipalities of Ruderting and Röhrnbach were rejected and the decision became final on August 16, 2007. Finally, on June 2, 2009, the Ilztalbahn GmbH signed a 50-year lease agreement with DB-Netz, and the Rhein-Sieg-Bahn became a cooperation partner. On September 12, 2010 the first section between Waldkirchen and Freyung will be opened on July 15, 2011 the remainder of the route between Waldkirchen and Passau.
